Terms of Service

These Terms of Service (“Terms”) govern your use of the StagePay mobile applications, website at stagesofpay.com, and any related services (together, the “Service”) operated by MostlyHarmless Labs, a company registered in England and Wales (“we”, “us”, or “our”). “StagePay” is the trade name of our software product offered under these Terms.

By creating an account, downloading the app, or otherwise using the Service you agree to be bound by these Terms and our Privacy Policy (including how we use Firebase, analytics, optional ads, and Pro+ cloud sync). If you do not agree, do not use the Service.

1. Who can use StagePay

You must be at least 16 years old, or the age of digital consent in your country, to use StagePay. By using the Service you confirm that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Your account

StagePay can be used locally on your device without a StagePay online account. If you subscribe to Pro+ (as labelled in the app and stores) and enable cloud features, you must create or link a registered (non-anonymous) StagePay account so we can identify your Firestore namespace for sync. Pro may unlock premium features without cloud sync depending on the build. You are responsible for keeping your credentials secure and for activity under your account.

We reserve the right to suspend or terminate accounts that appear to be compromised, fraudulent, or used in breach of these Terms.

3. Subscriptions and payments

3.1 Plans

StagePay offers a Free tier and paid Pro and Pro+ subscriptions. Pricing for paid plans is shown in the app and on stagesofpay.com and may differ by country and currency.

3.2 Billing

Paid subscriptions are sold and billed by Apple (App Store) or Google (Google Play) on our behalf. Billing terms, refund policies and renewal rules are governed by the relevant store. You can manage or cancel your subscription at any time directly in your App Store or Google Play account settings.

3.3 Auto-renewal

Unless cancelled, paid subscriptions renew automatically at the then-current price for the plan you selected. Cancellation takes effect at the end of the current billing period.

4. Advertising

Free-tier and certain builds may display third-party advertisements served by Google (for example through Google AdMob). Ad-supported experiences are subject to Google’s policies and may process device or advertising identifiers as described in our Privacy Policy. Paid plans may remove or limit ad placements as implemented in the app version you install.

5. Acceptable use

You agree not to:

• Use the Service for unlawful, fraudulent, or harmful purposes;
• Attempt to access another user’s account or data;
• Reverse engineer, decompile or tamper with the Service;
• Send spam, malware or content you do not have the right to send;
• Use StagePay to send invoices for goods or services you have not actually delivered;
• Interfere with the integrity, security or performance of the Service.

6. Your content

You retain ownership of the invoices, expenses, receipt images, contacts and other data you create or upload through StagePay (“Your Content”). You grant us a limited, non-exclusive, worldwide licence to host, store, transmit and display Your Content solely as necessary to operate and improve the Service for you. We do not sell Your Content.

You are responsible for the accuracy of Your Content, for ensuring you have the right to upload it, and for the legal consequences of the invoices you issue through StagePay.

7. Cloud sync and storage (Pro+)

When you are entitled to Pro+ and use cloud sync with a linked account, selected structured fields are written to Google Cloud Firestore under users/{uid}/… paths (business profile, invoices, expenses, recurring schedules), as described in our Privacy Policy. Receipt image files stay on your device in the current app version; synced expense records may include a local path string for your reference. You may export or delete synced data from within the app where those controls exist.

8. Intellectual property

The StagePay name, logo, software, designs and content are the property of MostlyHarmless Labs or its licensors and are protected by copyright, trademark and other intellectual-property laws. You are granted a limited, revocable, non-transferable licence to use the Service in accordance with these Terms.

9. Service changes

We may add, remove or change features, plans and prices over time. Where changes are material, we will provide reasonable advance notice in the app or by email to your account address.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if your continued use poses a security, legal or financial risk to us or other users. Sections that by their nature should survive termination (including 6, 8, 11, 12, 13 and 14) will survive.

11. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, MostlyHarmless Labs disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The StagePay product is a productivity tool and is not a substitute for professional accounting, tax or legal advice.

12. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service is limited to the greater of (a) the amount you paid for the Service (via the app stores) in the 12 months preceding the claim or (b) £50. We are not liable for indirect, incidental, special, consequential or punitive damages, including lost profits or lost data.

13. Indemnity

You agree to indemnify and hold MostlyHarmless Labs and its officers, employees and agents harmless from any claims, damages or expenses arising out of your use of the Service or your breach of these Terms.

14. Governing law

These Terms are governed by the laws of England and Wales without regard to its conflict-of-laws rules. The courts of England and Wales have exclusive jurisdiction over any dispute, except where consumer-protection law of your country of residence requires otherwise.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date and, where appropriate, give you in-app or email notice. Continued use of the Service after changes take effect means you accept the updated Terms.
